Terms of Service

These Terms of Service ("Terms") govern your use of the Celeus service ("the Service"), operated by Celeus LLC ("we", "us"). By creating an account, signing in, or using the Service, you agree to these Terms.
1. What the Service is - and what it is not
The Service is a statistical analysis tool for research: it profiles datasets, recommends and runs established statistical methods with a deterministic computation engine, and produces reproducible, study-level output (results, figures, tables, and manuscript-style text).
The Service is not a medical device, not clinical decision support, and not a source of medical advice. It analyzes data at the study level and never produces patient-specific diagnostic or treatment recommendations. Output is intended for qualified researchers who remain responsible for verifying every statistical result before relying on it or publishing it.
An artificial-intelligence assistant is part of the Service. It recommends methods, explains results, and drafts text - but it never computes statistics and never receives your rows or your file (the Privacy Policy describes what it does receive). All numbers come from the deterministic engine.
2. Your account and workspace
Accounts are personal. A workspace is the unit of collaboration, billing, and data isolation; the workspace administrator controls membership, plan, and data retention settings. You are responsible for actions taken under your account. Do not share credentials; invite collaborators instead - each member gets their own identity, and shared usage draws on the workspace's allowance either way.
3. Acceptable use
You agree to:
- upload only data you have the legal right to process for research;
- scan, keep, and exclude from the AI - every upload is screened for identifier-looking columns. You may keep those columns in the working dataset; analysis can use them. Flagged columns are left out of what the AI is told about your dataset unless you include them; if you use one in an analysis, its name and category names can appear in the results the AI receives. Dropping a column is optional preparation, not a requirement. If you are a covered entity (or a business associate of one) under HIPAA, do not upload protected health information for which we would be your Business Associate until we have signed a Business Associate Agreement with you - we do not offer one today;
- comply with the ethical and regulatory requirements that apply to your research (IRB/ethics approvals, data-use agreements, and applicable law);
- not attempt to re-identify individuals from any data or output;
- not probe, disable, or circumvent the Service's security or the AI assistant's safeguards, and not use the Service to build a competing statistical inference dataset by systematic extraction.
The AI never receives your rows or your file. It receives column names, category names, summary statistics with small counts withheld, and analysis results. Columns you exclude from the AI, and columns flagged as likely identifiers unless you include them, are left out of what the AI is told about your dataset. If you use one in an analysis, its name and category names can appear in the results the AI receives. This is enforced in code and covered by automated tests. Statistical analysis itself can still run on columns you kept. A separate identified-data storage setting (off by default, and additionally gated at the deployment) does not change what reaches the AI assistant and does not create a Business Associate Agreement.
We may suspend accounts that violate these terms, with notice where practicable.
4. Your data and your results
You retain all rights to the datasets you upload and to the analytical output the Service produces from them (results, figures, reproducible packages, and drafted text). We claim no ownership and use your data only to operate the Service for you, as described in the Privacy Policy. You may delete runs, datasets, your account, or your entire workspace at any time; deletion is permanent (see the Privacy Policy for what minimal integrity records remain).
5. Plans, billing, and top-up packs
Paid plans are workspace subscriptions with an included usage allowance, billed through Stripe on a monthly or annual term. Prices are shown before tax; tax is added to an invoice where it applies.
Subscriptions renew automatically. A subscription continues for successive terms of the same length, charged to your payment method at the start of each term, until you cancel it. Your renewal date is your own: the day you subscribed (for example the 17th of each month, or each July 17 on an annual plan). A plan change does not move it, except where the change starts a new annual term.
You can cancel at any time, with one click in the billing panel, or by writing to legal@celeus.ai, which we will action on the same terms. Cancellation takes effect at the end of the term you have already paid for; you keep access until then and you are not charged again afterwards. Until that date you can resume the subscription, and it renews as before. Cancelling first removes any scheduled plan change, so a change you had scheduled does not start. If you cannot find a way to cancel yourself, that is a gap in our product and not a limit on your right to cancel - tell us and we will do it for you.
Annual plans are a twelve-month commitment. An annual subscription is paid up front for twelve months. If you cancel it, it stops renewing and you keep access until the end of the year you have paid for; the unused part of the year is not refunded.
Team plans are priced per seat, with a minimum of three seats and a self-serve maximum of twenty-five.
Upgrades take effect immediately. Moving to a higher plan or to more seats applies at once and is charged at once, prorated: you pay the new price for the rest of the current term, less the unused part of what you had already paid for it. Moving from monthly to annual billing starts a new twelve-month annual term at once, charged at once at the annual price less the unused part of the month you had already paid for, and your renewal date moves to that day. If the payment for an upgrade is declined, the upgrade is cancelled and your plan does not change; the unpaid charge is voided and cannot be collected later. If your bank asks you to confirm the payment, the upgrade applies only once you complete that confirmation, within about a day; if you do not, it lapses and nothing is charged. While prepaid time is running (see below), your plan cannot be changed until it ends.
A change that moves your plan up and your billing down at the same time (for example from Pro annual to Team monthly) is made as two changes: first the plan, then the billing interval.
Downgrades on monthly billing - moving from Team to Pro, or to fewer seats - take effect at the end of the current month. You keep what you paid for until then, and the unused part of the month is not credited.
Leaving annual billing - switching to monthly billing, moving from Team to Pro, or moving to fewer seats on an annual subscription - takes effect at a time you choose from two, each shown with its date before you confirm:
- When your annual term renews. You keep your current plan until the end of the year you paid for. Nothing is re-priced.
- On your next monthly date - the next monthly anniversary of your annual term. The months you have used, including the month then ending, are re-priced at the monthly price of the plan and seats you had in each month. The months you have used are never charged beyond what you already paid for the year. Whatever you paid for the year beyond that becomes prepaid time on your new plan, counted at the new plan's monthly price: it covers as many whole months of the new plan as it pays for, ending on your monthly date, and anything left over - less than one month's price - is taken off your first charge after them. The new plan is not charged until the prepaid time runs out, and from then on it is billed normally. If the new plan is also annual (moving from Team to Pro, or to fewer seats), a new twelve-month annual term starts when the prepaid time runs out, and the amount left over is taken off its first annual charge. If the months you used cost as much as you paid, there is no prepaid time and the new plan is billed from that date. Prices are compared before tax: prepaid time is never charged, so the tax you paid on the annual invoice is not charged a second time, and tax on your first charge is calculated on the reduced amount.
For example, if you paid $190 for a year of Pro and the monthly price of Pro is $19, switching to monthly billing on your next monthly date after two months re-prices those two months at $38, and the remaining $152 covers 8 months of Pro before your first monthly charge. Used months are re-priced at the monthly price that was offered alongside the annual price you paid, not at a later price; if we have no record of that price for your subscription, switching on your next monthly date is not offered, and you can switch when your annual term renews.
Prepaid time is not refundable, including if you later cancel, and cannot be exchanged for cash. If you cancel while it is running, you keep access until it ends and are not charged again. While it is running, your plan, billing interval and number of seats cannot be changed; you can change them once it ends, and the billing panel shows that date.
A scheduled change can be cancelled in the billing panel at any time before it takes effect. A plan change cannot be scheduled while your subscription is set to cancel.
Usage allowances reset on the first day of each calendar month (UTC), for every plan. A plan change changes your limits, not what you have already used this month: after a downgrade you can be over the new limit until the next reset, and uploads over a storage limit are refused until you are under it again - nothing is deleted.
Promotional and complimentary periods. While a promotional discount or a complimentary period is active, the plan, billing interval and number of seats cannot be changed. They can be changed once it ends. Cancelling is always possible, including while an upgrade is waiting for your bank's confirmation: that upgrade is then cancelled and nothing is charged for it.
Additional usage is available only through explicit, one-time prepaid top-up packs. The Service never bills usage-based overage automatically. Usage and remaining pack credits are always visible in the billing panel.
Refunds. Subscription charges are not refunded; a cancelled subscription simply stops renewing, and prepaid time is never paid out in cash. A top-up pack that you have not drawn on at all can be refunded in full, and we treat a request made within fourteen days of the purchase as eligible on that basis alone. Packs that have been partly used are not refunded, and we do not refund the unused remainder of a pack. Refund requests go to legal@celeus.ai.
Prices and allowances may change with notice; changes never apply retroactively to an already-paid period.
6. Availability and beta status
The Service is offered as a beta. We aim for high availability but provide the Service "as is" and "as available", without warranty of uninterrupted operation. We may modify features with reasonable notice. Your statistical outputs are packaged for download precisely so that your results remain reproducible outside the Service.
7. Limitation of liability
To the maximum extent permitted by law: the Service is provided without warranties of any kind, express or implied, including fitness for a particular purpose; we are not liable for indirect, incidental, or consequential damages, or for decisions made in reliance on statistical output that you did not verify; and our total aggregate liability is limited to the amounts you paid for the Service in the twelve months preceding the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
8. Termination
You may stop using the Service and erase your workspace at any time. We may terminate accounts for material breach of these Terms, with notice where practicable, and will provide a reasonable window to export your data except where legally prevented.
Free workspaces that have never had a paid subscription and show no sign-in activity for approximately three months may also be terminated for inactivity. We will send two email warnings first, spaced about two weeks apart, and the same export window described above applies before anything is deleted - signing in at any point cancels the process.
9. Changes to these Terms
We may update these Terms. Material changes will be announced in the Service or by email with reasonable advance notice. Continued use after the effective date of a change constitutes acceptance.
